1. Digital Binding & Acceptance

By clicking "I Agree", registering an account, or logging in via OTP (One-Time Password), the Professional ("Doctor/Staff") enters into a legally binding contract with HIRE MEDICOZ ("Platform") under the Information Technology Act, 2000.

2. Service Models & Platform Fee Structure

The Professional agrees to the following fee deductions for services rendered through the Platform:

• Daily / Hourly Duty: 3% of the Shift payout
• Contractual Duty: 9% of first-month salary
• Permanent Hiring: 18% of first-month salary

• Note: For direct payroll hiring facilitated by the Platform, the Professional agrees to a one-time Platform Fee of 18% of the first month's gross salary. This covers credentialing, background verification, and placement services.

3. The "Strong Financial Protection" Clause (Audit Rights)

To ensure transparency and prevent commission leakage (Bypassing), HIRE MEDICOZ reserves the right to:

• Verify Appointment Letters: Request a digital copy of the offer letter or contract issued by the Hospital.
• Audit Payroll Records: Request bank statements or pay slips for the first three months of any permanent placement to verify the 18% fee accuracy.
• Cross-Check: Conduct compliance audits with Hospital HR to ensure "Daily" staff haven't been moved to "Permanent" status without platform notification.

4. Non-Circumvention & Penalty

Direct arrangements with hospitals introduced via the Platform are strictly prohibited for 12 months from the date of introduction.

Side-Deals: If a Professional accepts a permanent role or extension without notifying the platform or paying the 18% fee:

• Penalty: A fine of 30% of annualized income OR ₹3,00,000 (whichever is higher).
• Legal Action: Permanent account ban and legal recovery proceedings in Thiruvananthapuram, Kerala.

5. Digital Attendance & Conduct

• Proof of Placement: For permanent roles, the "Joining Report" uploaded to the app serves as the final legal evidence for fee calculation.
• Ethics: Misrepresentation of salary or hiding a "joining date" is considered a material breach of contract.

6. Liability & Negligence

• Facilitation Only: Hire Medicoz is a technology facilitator. The Professional is solely responsible for clinical outcomes and patient safety as per hospital protocols.
• Indemnity: The Professional indemnifies Hire Medicoz against any claims arising from medical malpractice or professional misconduct.

This document governs the relationship between Hire Medicoz and the Healthcare Institution.

1. Purpose & Scope

Hire Medicoz ("Platform") provides recruitment facilitation, staffing coordination, and workforce management. The Platform acts as a facilitator and is not the legal employer of the professionals provided.

2. Service & Commission Structure

The Employer agrees to the following non-negotiable commission model based on the professional's gross remuneration:

• Daily / Hourly Duty: 5% of the Shift payout
• Contractual Duty: 12% of first-month salary
• Permanent Hiring: 18% of first-month salary

3. Payment Terms

• Invoices are generated digitally and are payable within 7 days.
• Late payments attract interest at 18% per annum.
• Non-payment beyond 30 days results in immediate service suspension and legal recovery under Indian Contract Law.

4. Non-Circumvention (Strict)

The Employer shall not directly hire or negotiate with any candidate introduced by the Platform for a period of 12 months from the date of introduction.

Violation Penalty: ₹5,00,000 or 30% of the candidate's annualized salary (whichever is higher), plus legal costs.

5. Liability Limitation

Hire Medicoz is not liable for medical negligence, patient disputes, or regulatory penalties. Clinical supervision and workplace safety are the sole responsibility of the Employer.

6. Engagement Terms (Staff)

All hospital engagements and payments must be routed through the Hire Medicoz Platform. Direct arrangements with institutions introduced via the Platform are strictly prohibited.

7. Digital Conduct & Attendance

• Professionals must perform Digital "Check-In/Out" via the App.
• Misrepresentation of credentials or frequent "No-Shows" will result in immediate termination of the profile.

8. Digital Signature

Acceptance of these terms via App registration, OTP verification, or clicking "I Agree" constitutes a legally binding agreement under the Information Technology Act, 2000.

9. Dispute Resolution

Any dispute arising shall be resolved through arbitration under the Arbitration & Conciliation Act, 1996.
